This Software as a Service Agreement (“Agreement”) is a legally binding offer from Instalf Space (“Provider”) to any individual or legal entity (“Client”, “You”) who uses the Lemur software or related services available via the website https://instalf.space (“Platform”).

By using the Platform and associated services, You agree to be bound by the terms of this Agreement.

1. Services Provided

Instalf Space provides automated astrometric image processing through the Lemur software via a cloud-based SaaS model. Features include, but are not limited to:
– Astrometry and photometry of electro-optical telescope data
– API access (where applicable)
– Data export in industry-standard formats (CSV, FITS headers, WCS, etc.)

2. User Obligations

You agree to:
– Use the services only for lawful, non-malicious purposes
– Not upload any content that infringes third-party rights
– Provide accurate data and contact details for invoicing (if applicable)

3. Pricing and Payment

– Services are charged on a per-frame or subscription basis, as listed on the website.
– All payments are final, unless otherwise stated.
– The Provider may revise pricing with advance notice on the site.

4. License and Restrictions

You are granted a non-exclusive, non-transferable, limited license to use the Lemur software via the Platform. You may not:
– Reverse-engineer, copy or resell the software
– Share access credentials
– Use the Platform to develop competing services

5. Data Ownership and Privacy

– You retain full ownership of your input and output data.
– By using the service, you grant the Provider the right to process and store your data solely for the purpose of providing the service.

6. Service Availability

We strive for high availability but cannot guarantee uninterrupted access. The service is provided “as-is”, without warranties.

7. Limitation of Liability

To the maximum extent permitted by law, the Provider is not liable for:
– Data loss, system failure, or service interruption
– Indirect, incidental, or consequential damages

8. Termination

You may stop using the service at any time. The Provider reserves the right to suspend or terminate access in case of misuse or breach of this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Acceptance of Terms

By continuing to use the Platform, you automatically accept this Agreement. If you do not agree, you must cease using the service.
